Terms of service
These Terms of Service ("Terms") are a legally binding agreement between you and [company name], [registered address] ("we", "us", "our"), the provider of Ivoric Billing (the "Service"). "You" means the person who signs up or signs in and, where you use the Service for a business, that business too; you confirm you are authorised to bind it. These Terms, our Privacy Policy, our Disclaimer and Risk Disclosure, our Acceptable Use Policy and, for business records, our Data Processing Agreement together form the "Agreement".
You accept the Agreement by ticking "I agree" when you sign up, sign in or are asked to accept an updated version, or by using the Service. If you do not agree, do not use the Service. The Agreement is an electronic record under the Information Technology Act, 2000 and needs no physical or digital signature. The version you accepted, with the date and time, is recorded.
1. Who may use the Service
- You must be at least 18 years old and able to enter into a binding contract under Indian law.
- The Service is meant for use in the course of a business, trade or profession. If you use it for a business, you confirm that you are its owner or are authorised to accept these Terms for it.
- You must give true, complete and current details and keep them up to date.
2. Your account and the people you invite
- You are responsible for keeping your sign-in details, devices and one-time codes secure, and for everything done through your account or by anyone you invite (staff, accountants, partners), with whatever role you give them.
- Tell us at once at [support email] if you suspect unauthorised use. We are not responsible for loss caused by sign-in details or devices that were not kept secure.
- The owner of a business decides who can access it. Access you give to a CA, a partner or our support team is your decision and at your risk.
3. What the Service is — and is not
- The Service is a software tool that records, calculates and presents information that you and your team enter, import or confirm: invoices, stock, money, accounts, GST data and reports.
- The Service is not a chartered accountant, tax practitioner, lawyer, auditor, bank, payment system, GST Suvidha Provider or financial adviser, and nothing in it is professional, tax, legal, accounting or investment advice.
- Tax rates, HSN/SAC suggestions, subsidy and sizing estimates, reminders, AI readings and answers, health scores and forecasts are aids only. They may be incomplete, out of date or wrong; check them with a qualified professional before relying on them.
- GST returns, e-invoice and e-way bill data are prepared, not filed: you or your professional file them on the government portals and remain solely responsible for what is filed and for paying any tax.
4. Your responsibilities for your records and compliance
- You alone are responsible for the accuracy, completeness and legality of everything you enter, import, issue or file — including document numbers, tax rates, place of supply, HSN/SAC codes, prices, discounts and party details.
- Review every document before you issue it, every return before you file it and every payment before you make it. Once issued, filed or paid, it is your act.
- You are responsible for complying with every law that applies to your business — including GST, income-tax, company, labour, consumer, data-protection, licensing (for example FSSAI or drug licences) and record-keeping laws — and for keeping the books and documents those laws require for as long as they require.
- You must have the right to enter the personal data of your customers, suppliers and staff and to send them messages. For that data you are the data fiduciary and we process it on your instructions (see the Data Processing Agreement).
- Keep your own copies of your data. The Service lets you download everything at any time; do so regularly.
5. Your data
- Your business records belong to you. You give us a limited licence to host, copy, process and display them only to provide, secure, back up and support the Service for you, and as described in our Privacy Policy.
- You can download your data (Excel, CSV, JSON, PDF copies, Tally XML and the files you uploaded) at any time, including after a paid plan ends.
- We take reasonable security measures and keep backups, but no system is completely secure and backups can fail. We do not promise that data will never be lost, corrupted or accessed without authorisation.
- We may use counts of activity and other aggregated, de-identified information to run and improve the Service.
6. Third-party services
The Service can connect to services we do not control — for example the GST portal, e-invoice and e-way bill systems, GST Suvidha Providers, banks and UPI apps, payment gateways, WhatsApp, e-mail and SMS providers, Google sign-in, online stores and marketplaces, AI model providers, hosting and off-site storage. Their own terms apply to your use of them. We are not responsible for their availability, accuracy, security, fees, changes or failures, or for what they do with data you choose to send them. Integrations stay off until they are switched on.
7. Artificial-intelligence features
- AI features (reading bills, voice or text commands, answers about your business, suggestions) are optional and can be switched off.
- AI output can be wrong, incomplete or invented. It never changes your books until a person confirms it; once you confirm it, it is your entry.
- Do not rely on AI output for tax, legal or financial decisions without checking it.
8. Plans, payments and taxes
- Paid plans are prepaid for the period you choose, plus GST. Prices and limits are on our pricing page and may change for future periods with notice.
- If a plan is not renewed there is a short grace period; after that a small business may move to the Free plan and others become read-only — everything can still be viewed and downloaded.
- Fees are non-refundable except as stated in our Refund Policy or required by law.
- Taxes, bank charges and payment-gateway fees on your side are yours.
9. Availability and changes to the Service
- We aim to keep the Service available, but it is provided "as is" and "as available". It may be interrupted for maintenance, upgrades, failures of hosting, networks or third parties, or events outside our control.
- Offline billing depends on the device: bills not yet synced can be lost if the device or its browser data is lost or cleared.
- We may add, change or remove features, limits and integrations. Where a change materially reduces what a paid plan includes, we will tell you in advance.
10. No warranties
To the fullest extent permitted by law, we disclaim all warranties, representations and conditions, express or implied — including fitness for a particular purpose, merchantability, accuracy, non-infringement, uninterrupted or error-free operation, and that the Service will meet your requirements or your legal obligations. Statements on our website, in help articles or by our staff are not warranties.
11. Limitation of liability
- To the fullest extent permitted by law, we and our directors, employees, partners and suppliers are not liable for any indirect, incidental, special, consequential, exemplary or punitive loss or damage, or for any loss of profit, revenue, business, goodwill, opportunity, anticipated savings or data, however caused and even if we were told it was possible.
- We are not liable for any tax, interest, late fee, penalty, demand, denial of input tax credit or other consequence imposed by any authority, or for any claim by your customers, suppliers, staff or anyone else, arising from records, documents, returns, payments or messages made with the Service.
- We are not liable for loss caused by your data or instructions, your devices or internet connection, people you gave access to, third-party services, AI output you confirmed, or your not keeping your own backups.
- Our total aggregate liability for all claims arising out of or relating to the Service or this Agreement — in contract, tort (including negligence), under statute or otherwise — is limited to the fees you actually paid us for the Service in the three (3) months before the event that gave rise to the first claim, or one thousand rupees (₹1,000) if you used a free plan.
- These limits apply even if a remedy fails of its essential purpose. They do not limit liability that cannot be limited by law, such as liability for fraud.
12. Indemnity
You will defend, indemnify and hold harmless us and our directors, employees, partners and suppliers from and against every claim, demand, proceeding, loss, damage, liability, tax, penalty, cost and expense (including reasonable legal fees) arising out of or relating to your data, your use of the Service, documents you issue or file, your breach of this Agreement or of any law, or any dispute between you and your customers, suppliers, staff or any authority.
13. Suspension and termination
- You may stop using the Service and close your account at any time.
- We may suspend or end your access, with notice where reasonably possible, if you break this Agreement, do not pay, create risk or legal exposure for us or others, or if the law requires it. In urgent cases (security, fraud, legal orders) we may act without notice.
- After closure you can still download your data for the period stated in our Privacy Policy; after that we may delete it, except what the law requires us to keep.
- Sections that by their nature should survive — including 4, 5, 10, 11, 12, 16 and 17 — survive the end of this Agreement.
14. Intellectual property and feedback
- The Service, its software, design, content and brand belong to us or our licensors. You receive a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes while your account is active.
- You must not copy, modify, resell, reverse-engineer or create derivative works of the Service, except as the law expressly allows.
- If you send us ideas or feedback, we may use them freely without any obligation to you.
15. Changes to this Agreement
We may update this Agreement. When a change matters, we will show the new version in the app and ask you to accept it before you continue; the version you accepted is recorded. If you do not accept, stop using the Service and download your data.
16. Governing law, disputes and arbitration
- This Agreement is governed by the laws of India.
- Please first write to us at [support email]; we will try to resolve any dispute amicably within 30 days.
- A dispute not resolved amicably will be referred to final and binding arbitration by a sole arbitrator appointed in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be [city] and the language English.
- Subject to arbitration, the courts at [city] have exclusive jurisdiction.
- To the extent the law permits, any claim must be brought within one (1) year after it arises.
17. General
- Force majeure: we are not liable for delay or failure caused by events beyond our reasonable control, including natural disasters, epidemics, war, government action and failures of power, internet, hosting providers or government portals.
- If any part of this Agreement is held invalid or unenforceable, the rest remains in force and that part applies to the maximum extent permitted.
- This Agreement is the entire agreement between you and us about the Service and replaces earlier understandings. Not enforcing a right is not a waiver of it.
- You may not assign this Agreement without our written consent; we may assign it to an affiliate or to a successor of our business.
- We may give you notices in the app, by e-mail or by WhatsApp/SMS to the details on your account; send notices to us at [support email].
- If you are a "consumer" under the Consumer Protection Act, 2019, nothing in this Agreement limits rights that the law does not allow to be limited.
